Terms and Conditions

1. Description of Service

Joke Ledger is a secure digital registry and performance intelligence platform designed for stand-up comedians, writers, and performance-based creators. The Service provides:

• Time-stamping of creative material with cryptographic proof of creation;
• Recording and storing of audio, video, and text content;
• Issuance of certificates of authorship;
• AI-based analysis and similarity detection;
• Performance logging and reaction analytics.

Important: Joke Ledger does not grant copyright ownership and is not a government authority or legal registry. Joke Ledger is not a law firm and does not provide legal advice. Certificates issued by this Service are supporting evidence and are not a substitute for official copyright registration with the U.S. Copyright Office or equivalent authority in your jurisdiction.

2. Eligibility and Account Registration

• You must be at least 18 years of age to create an account.
• You agree to provide accurate, current, and complete information during registration, including your legal name, email address, and time zone.
• You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
• You may not create more than one personal account. Studio plan users may invite team members under a single organization account.

3. User Representations

By uploading any content to Joke Ledger, you represent and warrant that:

• You are the original creator of the material, OR you have full legal rights to upload and register the material;
• The content does not infringe on any third-party intellectual property rights;
• The content is not stolen, copied without authorization, or misappropriated from another creator;
• All representations you make about the content's authorship are true and accurate to the best of your knowledge.

4. Fraud, Misrepresentation & Stolen Material

Integrity of Submissions

Joke Ledger relies on user-provided representations regarding authorship. If any uploaded material is found to be stolen, copied without authorization, fraudulently submitted, or misrepresented as original work, Joke Ledger reserves the absolute right to:

• Revoke any associated certificate of authorship;
• Invalidate the associated proof records;
• Suspend or permanently terminate the user's account;
• Remove or restrict access to the content.

No Liability for User Fraud

You agree that:

• Joke Ledger is not responsible for verifying authorship claims prior to issuance of certificates;
• All responsibility for the authenticity and originality of submitted content lies solely with the user;
• Joke Ledger shall not be held liable for any claims, damages, disputes, or legal actions arising from fraudulent, infringing, or unauthorized content uploaded by users.

5. Certificate Limitations

Certificates issued by Joke Ledger represent a timestamped record of submission and reflect data provided by the user at the time of upload. They do not:

• Guarantee legal ownership of the material;
• Serve as official copyright registration with any government authority;
• Override court decisions or legal determinations;
• Constitute a legal opinion regarding authorship or infringement.

Cryptographic proofs establish when content was submitted to Joke Ledger — not necessarily the original date of authorship. We make no guarantee that proofs will be accepted by courts, arbitrators, or other legal authorities in any jurisdiction.

6. Subscription Plans and Billing

Joke Ledger offers the following subscription tiers:

• Free ($0/month): Up to 3 original works, vault storage, timestamps, text/audio/PDF uploads, and cryptographic proof of creation. Does not include Certificate of Authorship PDF, video recording, AI transcription or segmentation, shareable verification links, or blockchain-verified registration.
• Starter ($9/month): Up to 25 original works, Certificate of Authorship PDF, basic version history, downloadable records, and email support. Does not include unlimited registrations, video recording, AI features, or blockchain verification.
• Pro ($29/month): Unlimited registrations, audio and video recording, 2 GB storage, AI transcription, AI segmentation, Certificate of Authorship PDF, shareable verification links, blockchain-verified registration, notarization, evolution graph, analytics, and full version history.
• Elite ($49/month): Up to 4 active project registrations, support for specials, screenplays, pilots, bibles, and stage plays, enhanced certificate, project archive, project verification, Professional IP Registry designation, and 10 GB storage.
• Studio ($99/month): All Pro features plus multi-user access, team vault, role-based permissions, shared project registrations, contributor tracking, team-scoped verification, revision and version history, approval workflows, activity timeline, admin dashboard, team archive, and 50 GB storage.

Subscriptions are billed monthly. By selecting a plan, you authorize us to charge your payment method on a recurring basis. We reserve the right to modify pricing with at least 30 days' written notice to your registered email address.

Certain features and subscription options may be introduced or modified during the private beta period. Current pricing, features, and availability will be presented to users before purchase.

7. Cancellation and Refund Policy

Paid subscriptions may be canceled at any time through the user's account, when account-based cancellation is available, or by contacting Joke Ledger at info@jokeledger.com. Cancellation prevents renewal for the next billing period. Unless otherwise stated, customers will retain access to paid features through the end of the current paid billing period.

Subscription fees already charged are generally non-refundable except where required by applicable law or where otherwise determined by Joke Ledger, Inc.

8. Your Content and Ownership

You retain 100% ownership of all creative material you submit to Joke Ledger. By uploading or submitting content, you grant Joke Ledger a limited, non-exclusive, royalty-free license solely to store and process your content to provide the Service, generate cryptographic proofs and certificates, and transmit your content via shareable verification links where you choose to share it.

We do not sell your content. We do not use your content to train AI models or share it with third parties for marketing purposes. AI processing is performed solely to deliver features you request within the Service.

9. Audio and Video Recording

By using in-browser recording features, you confirm that you have the legal right to record all persons and content captured, have obtained all necessary consents from third parties, and that your recordings comply with applicable federal and state recording consent laws.

10. AI-Powered Features

Pro, Elite, and Studio plan users have access to AI-powered features including audio transcription, joke segmentation, similarity analysis, and live performance reaction scoring. AI results are generated automatically and may not be fully accurate. Similarity scores and analysis are provided for informational and creative purposes only and are not legal determinations of authorship, originality, or infringement. Your audio and content may be transmitted to third-party AI services under their applicable terms solely to process your request. Joke Ledger does not use your content to train AI models.

11. Studio Plan — Team Collaboration

Studio plan team administrators are responsible for managing team member access and roles, ensuring all team members comply with these Terms, and all content submitted by team members under the team account. All team-submitted content is associated with your organization's account.

12. Disputes Between Users

Joke Ledger does not mediate, arbitrate, or adjudicate ownership disputes between users or third parties. In the event of a conflicting authorship claim, parties must resolve the matter independently or through appropriate legal channels. Joke Ledger's role is limited to providing cryptographic verification records — we do not make legal determinations about ownership. Joke Ledger may provide verification data if legally required to do so by a court of competent jurisdiction.

13. Prohibited Conduct

You may not use Joke Ledger to:

• Submit content you did not create or do not have the right to submit;
• Submit stolen, copied, or misappropriated material and represent it as original;
• Submit content that is obscene, threatening, harassing, defamatory, or unlawful;
• Submit content that infringes the intellectual property rights of any third party;
• Attempt to reverse-engineer, scrape, or compromise the platform's security or cryptographic systems;
• Create accounts to fraudulently establish timestamps for content you did not create;
• Use the Service for any illegal purpose or in violation of any applicable law or regulation;
• Attempt to gain unauthorized access to other users' accounts or content.

Violation of these prohibitions may result in immediate account termination without refund.

14. Intellectual Property of the Service

All software, design, branding, interfaces, logos, certificates, and systems comprising Joke Ledger are the exclusive intellectual property of Joke Ledger and its operators. You may not copy, reproduce, distribute, or create derivative works of the Service itself without express written permission.

15. Data & Records

Records are stored for verification purposes. Joke Ledger does not guarantee permanent storage unless explicitly stated in a subscription plan. Upon account termination, your content may be retained in our systems for up to 90 days before permanent deletion, except where earlier deletion is required by law. We do not sell your personal data to third parties.

16. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. Joke Ledger does not warrant that the Service will be uninterrupted, error-free, or completely secure.

17. Limitation of Liability

To the maximum extent permitted by applicable law, Joke Ledger and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Service, including but not limited to lost profits, loss of data, reputational harm, loss of intellectual property claims, disputes between creators, or costs of legal proceedings arising from misuse of the platform.

Our total aggregate liability to you for any claims arising out of or related to the Service shall not exceed the total amount you paid to us in the twelve (12) months preceding the claim.

18. Indemnification

You agree to indemnify and hold harmless Joke Ledger and its operators, officers, employees, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your uploaded content; (b) your violation of these Terms; (c) any infringement or dispute related to your material; or (d) your violation of any third-party rights.

19. Termination

You may cancel your account or paid subscription at any time through your account, where available, or by contacting us at info@jokeledger.com (see the Cancellation and Refund Policy above). Joke Ledger may suspend or terminate access at any time, with or without notice, for violation of these Terms, fraudulent activity, or abuse of the platform.

20. Modifications

Joke Ledger reserves the right to update these Terms at any time. If we make material changes, we will notify you by email to your registered address or by a prominent notice within the Service at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes your acceptance of the revised Terms.

21. Governing Law

These Terms shall be governed by the laws of the United States and the State of Delaware, without regard to conflict of law principles. Any dispute arising under these Terms shall be resolved in the appropriate courts of that jurisdiction.
